COMMON COUNCIL - CITY OF MUSKEGO
RESOLUTION #145-2006
APPROVAL OF WAIVER OF CONFLICT OF INTEREST
WHEREAS, It is the intent of the Common Council to hire special counsel, Maistelman
& Associates, LLC, to represent the City of Muskego regarding the recall of Mayor
Damaske; and
WHEREAS, The City understands that Maistelman & Associates, LLC could have a
potential conflict of interest because of its representation of Royal Franchising, Inc.
d/b/a Jani-King of Milwaukee; and
WHEREAS, The Common Council has reviewed the attached Waiver of Conflict of
Interest and intends to authorize execution.
NOW, THEREFORE, BE IT RESOLVED That the Common Council of the City of
Muskego does hereby approve the attached Waiver of Conflict of Interest and
authorizes the Mayor to execute the same on behalf of the City subject to the approval
of the City Attorney.

WAIVER OF CONFLICT OF INTEREST

The City of Muskego, (hereinafter "The City") hereby acknowledges that it has been advised
by MAISTELMAN & ASSOCIATES, LLC, of a potential conflict of interest with respect to its
representation ofthe City during the recall of Mayor Charles H. Damaske. The City understands that
the conflict of interest relates to the fact that MAISTELMAN & ASSOCIATES, LLC and
specifically Attorney Michael Maistelman, in the past, represented Royal Franchising, Inc. d/b/a
lani-King of Milwaukee related to it's cleaning contract with the City. It is conceivable that at some
point in the future MAISTELMAN & ASSOCIATES, LLC's interests may be adverse to City due to
its continued representation of Royal Franchising, Inc. d/b/a lani-King of Milwaukee. The City has
been informed that it has the opportunity to retain new counsel with respect the representation of the
City during the recall of Mayor Damaske. The City understands that MAISTELMAN &
. ASSOCIATES, LLC, will be hired to represent the City of Muskego during the recall of Mayor
Damaske. By executing this document, the City waives any conflict of interest and demonstrates its
desire that MAISTELMAN & ASSOCIATES, LLC represent the City of Muskego with respect to
the recall of Mayor Charles H. Damaske.
