WHEREAS, The City of Muskego and City Assessor desire to contract with Tyler Technologies, Inc. dba Cole Layer Trumble Co. (CL T) to provide professional services outlined in the attached Agreement to assist the Assessor with data collection of all taxable real property; and WHEREAS, The Finance Committee has reviewed the Agreement and has recommended approval. NOW, THEREFORE, BE IT RESOLVED, That the Common Council of the City of Muskego, upon the recommendation of the Finance Committee, does hereby approve the attached Agreement with Tyler Technologies, Inc. dba Cole Layer Trumble Co. (CL T) for professional services to assist the City Assessor. . City of Muskego, Wisconsin Articles of Agreement ARTICLES OF AGREEMENT This Agreement is by and between the City of Muskego, located in the State of Wisconsin, '" hereinafter referred to as the "City," AND Tyler Technologies Inc., Dba: Cole Layer Trumble Co. I Tyler/CLT I, a corporation formed under the laws of the State of Delaware and qualified to do business in the State of Wisconsin, hereinafter referred to as " Tyler/CLT," WIIN~SSl~IH WHEREAS, Tyler/CLT has experience in the design, development, and implementation of data processing systems and programs as they relate to mass appraisal techniques; tmd WHEREAS, Tyler/CLT has served county and municipal governments in the mass appraisal field for over sixty years; and WHEREAS, the City desires to utilize said services; NOW, THEREFORE, it is hereby agreed that Tyler/CLT shall provide the professional services contained in Schedule A (Data Collection Services) during the period ofthis Agreement as specified in Article 3 below. Items not covered and/or added to this agreement are provided for in Schedule B (Additional Services). June 2005 Tyler Technologies, Inc . . . City of Muskego, Wisconsin Articles of Agreement 1. SERVICES TO BE PROVIDED Tyler/CLT shall provide to the City in a professional and workmanlike manner, all of those services stipulated in Schedule A (Data Collection Services) and Schedule B (Additional Services), Tyler/CLT shall be resJllonsible for the scheduling of personnel as categorized in Schedules A & B. 2. CONTRACT DOCUMENTS This Agreement and Schedules A & B comprise the contract documemts. 3. PERIOD OF AGREEMENT This Agreement shall be in effect commencing October 1,2005 through November 1, 2007. Tyler/CLT's time of performance of the Agreement is conditioned upon the performance ofthe City responsibilities contained in the Support of Data Collection Services Article 11.0 of Schedule A with additional support covered in Schedule B. Ifthe City fails to make timely deliveries of such information 01' access, Tyler/CL T's obligation to perform the services provided in this Agreement shall be suspended until such deliveries are made. 4. COMPENSATION As compensation for Tyler/CLT providing thl~ professional services contained in Schedule A (Data Collection Services): June 2005 Tyler Technologies, Inc 2 . . . City of Muskego, Wisconsin Articles of Agreement The City shall pay Tyler/CLT a fee of ONE HUNDRED FIFTY THOUSAND DOLLARS ($150,000.00) for these services for the period of October 1,2005, through November 1,2007. Invoices will be submitted each month, commencing the first month after the signing of this Agreement, for an amount equal to the progress reported and approved during the previous month. Progress will be reported to reflect the percentage of each activity completed during the previous month. Payment of billings is due within thirty (30) days after the date of each billing. The City will notify Tyler/CLT in writing of any apparent discrepancies contained in the itemized billing within fifteen (15) days ofreceipt of any billing. Failure ofthe City to make payment when due, without cause, entitles Ty:ler/CLT, in addition to its other rights and remedies, to suspend, temporarily, further performance of this Agreement without liability. The City shall have the right to inspect the progress of the work at any reasonable time, including without limitation, inspection of data completed by Tyler/CLT. Additional compensation that may be due Tyler/CLT as a result of additional services, Schedule B, as requested by the City, in writing, that are beyond the scope of services of this Agreement will be invoiced in the month subsequent to the month in which the June 2005 Tyler Technologies, Inc 3 . . . Article 1.0 of Schedule B provides a schedule of Time and Material Rates that would apply to services that are beyond the Scope of Services. "; 5. INDEPENDENT CONTRACTOR The relationship of Tyier/CLT to the City shan be that of an independent contractor and no principal-agent or employer-employee relationship is created by this Agreement. 6. OWNERSHIP OF DATA Data collected is the property ofthe City. Data used by Tyier/CLT in the services contemplated herein shall remain the property ofthe City and no use or copying shall be made thereof beyond that listed in this Agreement without the written permission of the City. 7. PURPOSEIUSE OF APPRAISALS Tyier/CLT by virtue ofthis Agreement is contracted to provide certain services and recommendations of value to the City which are intended for exclusive use as recommendation of value for determinations of assessment for ad valorem tax purposes pursuant to the laws of the State of Wisconsin. Any use other than that stated above is not authorized nor intended, and most specifically excluded is, an opinion of value used for federally related real estate transactions or other mortgage lending purposes. 8. INDEMNIFICATION AND INSURANCE Except as provided below, Tyier/CLT agrees to defend and save harmless the City, its officers, agents and employees against all claims, demands, payments, suits, actions, June 2005 Tyler Technologies, Inc 4 . . . City of Muskego, Wisconsin Articles of Agreement recovery, and judgments of every kind and description arising out of the performance of this Agreement, for the personal injury or property damage brought or recovered against it by reason of any negligent action or omission ofTy1er/CLT, its agents, or employees '" and with respect to the degree to which the City is free from negligence on the part of itself, its employees and agents. Tyler/CL T agrees to indemnify and save harrnless the City, its officers, agents and employees against all payments, recovery and judgments of every kind and description arising out of any valuation dispute, recovered against it, whether base!d in contract, negligence or otherwise, which arise from the sole negligence of Ty1er/CLT. The City agrees to indemnify and save harmless Ty1er/CLT, its officers, agents and employees against all payments, recovery and judgments of every kind and description arising out of any valuation dispute, recovered against it, whether based in contract, negligence or otherwise, which arise from the sole negligence of the City. In all other actions arising out of valuation disputes, neither party shall indemnify the other. Neither party shall be liable to the other for consequential, indirect or incidental damages, including, but not limited to, loss of tax revenue or claims related to valuation of property, whether based in contract, negligence and strict liability or otherwise. Notwithstanding this paragraph, both parties shall be liable to the other for breach of the terms of this Agreement. Tyler/CLT shall carry Commercial General Liability Insurance in the amount of $1,000,000 including protection for bodily injury and property damage with a combined single limit of $1 ,000,000 and $500,000 for each occurrence naming the City as the additional insured. City of Muskego, Wisconsin Articles of Agreement Tyler/CLT shall also maintain Automobile Liability Insurance providing limits of $1,000,000 per occurrence, and Tyler/CLT shall provide Workers' Compensation Insurance. The Workers' Compensation Insurance shall provide coverage under the governing Compensation Act of Wisconsin, and shall provide the employer's liability insurance in the amount of$100,000. 9. FORCE MAJEURE Neither party shall be liable to the other for any loss, damage, failure, delay or breach in rendering any services or performing any obligations hereunder to the (~xtent that such failure, delay or breach results from any cause or event beyond the control of the party being released hereby ("Force Majeure"), including, but not limited to, acts of God, acts or omissions of civil or military authorities which would substantially impair the proposed completion deadline.. If either party is prevented or delayed in the performance of its obligations hereunder by Force Majeure, that party shall immediately notify the other party in writing of the reason for the delay or failure to perform, describing in as much detail as possible the event of Force Majeure causing the delay or failure and discussing the likely duration of the Force Majeure and any known prospects for overcoming or ameliorating it. Both parties agree to take any commercially reasonable measures to overcome or ameliorate the Force Majeure and its adverse effects on this Agreement, and to resume performance as completely as is reasonably possible once the Force Majeure is overcome or ameliorated. EMPLOYMENT LAWS Tyier/CLT shall comply with all the applicable provisions of Federal and Wisconsin laws, rules and regulations regarding employment and shall further spt::cifically comply with those sections related to Equal Employment Opportunity. 11. CONFLICT OF INTEREST Tyier/CLT covenants that it has no public or private interest, and will not acquire directly or indirectly any interest that would conflict in any manner with the performance of its services. Tyier/CLT warrants that no part of the total contract amount provided herein shall be paid directly or indirectly to any officer or employee of the City as wages, compensation, or gifts in exchange for acting as officer, agent, employee, subcontractor, or consultant to Tyier/CLT in connection with any work contemplated or preformed relative to this Agreement. 12. PROJECT PERSONNEL All work will be performed by personnel cert:lfied by the State of Wisconsin, Department of Revenue. Tyier/CLT will provide and update the City with a listing of personnel assigned to the Project. All project personnel assigned shall be approved by the City. During the Period of Agreement (Article 3) and for a period of six months following the project completion date, the City will not solicit for employment or hiæ any Tyier/CLT employee without the express written consent of Tyler/CLT. City of Muskego, Wisconsin Articles of Agreement SUBCONTRACTS Tyler/CLT agrees not to subcontract any of the work required by this Agreement without the written permission of the City. Tyler/CLT agrees to be responsible for the accuracy "' and timeliness of the work submitted in the fulfillment of its responsibilities under this Agreement. 14. ASSIGNMENT OF AGREEMENT 15. Tyler/CLT agrees not to assign, transfer, convey, sublet, or otherwise dispose of the Agreement or its rights, titles, or interest in th~s Agreement without the: previous consent and written approval of the City. GOVERNING LAW This Agreement shall be interpreted under the: laws of the State of Wisconsin as it existed and was interpreted on the date of tills Agreement. In the event that the laws of the State of Wisconsin change, so as to create additional work for Tyler/CLT nOot provided for in this Agreement, the City shall allow Tyler/CLT a reasonable extension ofthe completion date and/or additional compensation to be negotiated. The methods and procedures used in performance of this Agreement shall comply with Chapter 70 of the Wisconsin State Statutes. 16. CONFLICT In the case of conflict between the terms of this Agreement and the tenms of Schedule A and Schedule B, the terms of tills Agreement shall control. City of Muskego, Wisconsin Articles of Agreement ENTIRE AGREEMENT This Agreement contains the complete and entire Agreement between the parties and may not be altered or amended except in writing, executed, making specific references to this "" Agreement, by a duly authorized officer of Tyler/CLT and by a duly authorized official of the City. 18. SEVERABILITY 19. If any provision of this Agreement shall be declared invalid or unenforceable, such invalidity or unenforceability shall not affect the whole Agreement, but the whole Agreement shall be construed and enforced accordingly. TERMINATION This Agreement may be terminated by either party by giving thirty (30) days written notice to the other, before the effective date oftermination. In the event of termination or suspension, Tyler/CLT shall be entitled to receive payment in full (at the amounts and rates set forth herein, or if not specifically set forth in this Agreement, at Tyler/CLT's standard or published rates) for all services, software, licenses and/or bonding delivered by Tyler/CLT up to the effective date of the termination or suspension, as the case may be, plus such other charges as may be agreed upon by the parties. 20. DISPUTES Any controversy or claim arising out of or relating to this Agreement shall be subject to litigation in the circuit court for Waukesha County, Wisconsin. Schedule A -Data Collection Services Muskego, Wisconsin SCHEDULE A DATA COLLECTION SERVICES 1.0 INTRODUCTION Tyler/CLT will perform data collection of all taxable real property pursuant to Chapter 70 of the Wisconsin Statutes (as amended from time to time) hereinafter S(;:t forth. The remaining sections of this Agreement are organized to follow the State of Wisconsin Guidelines. 2.0 PUBLIC RELATIONS This section will describe the public relations program that Tyler/CLT will provide as part of our Agreement: During the progress of the work, Tyler/CLT will endeavor to promote understanding and amicable relations with the property owners and public. The City and Tyler/eLl' shall cooperate in maintaining good public relations throughout the Data Collection effort. Tyler/CLT shall furnish speakers and the City shall arrange speaking appearances before periodic meetings so that the purposes, methods and procedures of the data collection may be explained to as large a representative group of property owners as possible. The employees of the City Assessor's office and Tyler/CLT shall work together to maintain the full cooperation of all property owners by treating each inquiry with courtesy June 2005 Tyler Technologies, Inc. Schedule A -Data Collection Services Muskego, Wisconsin and supplying all possible necessary information to every interested property owners; however, each field appraiser/lister will be instructed to refrain from discussing with the property owner, tenant, or occupant the possibility of any increase or decrease in the valuation of the real property and/or buildings. Tyler/CLT shall submit a public relations plan for approval by the City. 3.0 QUALITY AND TYLERlCLT PROGRESS CONTROL This Section provides Tyler/CL T's guidelines for quality control and progress reporting needed for the data collection ofthe City: Throughout the data collection, the City Assessor's staffwill check work being performed by Tyler/CLT to assure the City that the work is being done: in a proper manner. Tyler/CLT agrees to meet monthly with the City Assessor and upon request, with the Mayor and/or Common Council to discuss areas of work such as, but not limited to progress, quality of work, procedures and problems. 4.0 MISCELLANEOUS TERMS AND CONDITIONS This section addresses general terms and conditions that are required to complete a successful data collection: June 2005 Tyler Technologies, Inc. 2 . . . Schedule A -Data Collection Services Muskego, Wisconsin 4.1 Confidentiality of Information Tyler/CLT shall ensure that employees maintain strict confidence regarding all privileged ~. information received by reason ofthis Agreement. Disclosure of this or any appraisal information to any individual, firm, or corporation, other than appropriate public officials or their authorized agents is expressly prohibited. 5.0 TECHNICAL ENVIRONMENT Tyler/CLT will use the City's "IAS" Computer Assisted Mass Appraisal (CAMA) System as a base for the work performed under this Agreement. All costs associated with the processing of data shall be the responsibility ofthe City. 6.0 CONFORMANCE TO STATUTES All work shall be accomplished in accordance with the provisions of the laws ofthe State of Wisconsin and in full compliance with all the rules and regulations officially adopted and promulgated by the Wisconsin Department of Revenue as of the date of the Agreement. 7.0 PERSONNEL 7.1 Staff Tyler/CLT will provide trained personnel currently certified in compliance with Wisconsin statutes and administrative rules of the Department of Revenue. The City will have final approval on project personnel who are assigned to work on the data collection of the City. June 2005 Tyler Technologies, Inc. 3 . . . Schedule A -Data Collection Services Muskego, Wisconsin 7.2 Staff Requirements The City shall reserve the right to prohibit an (~mployee of Tyler/CLT from participation in the data collection, for good cause. Tyler/CLT shall review any complaint relative to the conduct of its employee( s). If the City deems the performance of any of the employees to be unsatisfactory, Tyler/CLT shall, for good cause, remove such employee(s) from work upon written request from the City, such request stating reasons for removal. Tyler/CLT shall supply all its field representatives with City approved identification cards containing, in addition to the usual information, a photograph of the employee. 7.3 Proiect Supervision Tyler/CLT shall designate a qualified and responsible employee to supervise the operation of Tyler/CLT's staff for the entire project. The individual designated, approved by the City, as such shall make himself/herself available to the City for consultation throughout the project. Should the project supervisor be reassigned, that person shall be replaced by an equally qualified individual. 8.0 PROPERTY RECORD CARDS Appropriate record cards shall be used in the valuation and collection of data for residential improvements, commercial improvements, and agricultural improvements. All information relating to improvements shall be obtained and shown as provided on the respective forms. June 2005 Tyler Technologies, Inc. 4 . . . Schedule A -Data Collection Services Muskego, Wisconsin 9.0 DATA COLLECTION Tyler/CLT goal shall be to inspect the interiors and exteriors of 85% ofthe residential and commercial improved parcels with a constructiion date prior to the year 2000. 9.1 Measurement of Property Tyler/CLT shall accurately measure, to the nearest one foot, all the major improvements showing all additions, garages, and appendages with dimensions and necessary identification on the property record card. All measurements are to be made by a 100' tape; the use of rods and wheels will be avoided unless circumstances; such as shrubbery and equipment, prohibits the use of a measuring tape. All inspections \lInll be conducted between the hours of 8:30 A.M. to 6:00 P.M. on any day, Monday through Saturday, excluding legal holidays, unless another time is agreed upon between the property owner and Tyler/CLT. 9.2 Property Owner Entrance Data The date of inspection or listing of parcels shall be indicated on the record cards and the owner shall be asked to sign the card when applicable. June 2005 Tyler Technologies, Inc. 5 . . . 9.3 Schedule A -Data Collection Services Muskego, Wisconsin Inspection Attempts If no contact is made on the initial visit, a doorhanger is left with a phone number to call for an appointment. If no appointment is made, the City shall attempt to contact the property owner/occupant by ordinary mail to arrange an appointment fc)r the purpose of listing the interior, ten (10) business days after leaving the doorhanger but not to exceed thirty (30) calendar days ofleaving same. Property owners who do not respond to the City's request to inspect the improvements by ordinary mail shall be listed by professional acceptable appraisal practices according to the best infomlation that can be practicably obtained. 10.0 DATA MANAGEMENT June 2005 This section will outline Tyler/CL T's procedures for collecting and encoding the data collected into the City's IAS CAMA System. 1. Residential, Agricultural, and Commercial Property Record Cards shall be completely filled out so property information is CAMA ready for entry into the City's IAS CAMA System. Tyler/CLT shall encode or perfoml data maintenance to all property records as needed. 2. The Assessor's records will be available for use in the Assessor's office; release of said records are subject to the Assessor's approval, however, in no case will the use of these records be utilized in place of an inspection of the property unless inspection has been refused by the property owner. Tyler Technologies, Inc. 6 Schedule A -Data Collection Services Muskego, Wisconsin . 3. Tyler/CLT is aware that some properties may have to be re-inspected because of permit alterations and/or additions to the improvements. There will be no additional fee for such re-inspection or subsequent data collection required because of such alterations and/or additions. 4. The City and Tyler/CLT shall cooperate to avoid duplication and confusion to the property owner and to see that all pemlÍt alterations and additions are accounted for in the data collection. 11.0 RESPONSIBILITIES OF THE CITY . This section will outline the responsibilities of the City to ensure that a successful data collection is implemented. 11.1 Office Space The City will furnish suitable office space at no cost to Ty1er/CLT in City Hall. Office space shall include local phone service, tables, chairs, heating, lighting, and janitorial services, and access to photocopy equipment. The City will also provide two (2) Windows 98 or higher personal computers and access to a laser printer located in or near the project office. 11.2 Access to Records . The City shall allow access and make available to Tyler/CLT, City records such as, but not limited to, previous assessment rolls, sewer and water layouts, building permits, tax June 2005 Tyler Technologies, ][nc. 7 . . . Schedule A -Data Collection Services Muskego, Wisconsin records, building plans, records of special assessments, plats, and any other maps currently in possession of the City, at no cost. 11.3 Property Identifications To furnish the name and address of the owner and the lot and block number, size or other identifying description of each parcel to be appraised. 11.4 Provision of Forms The City shall provide approved forms, binders, record cards, adhesive backed labels, and other materials, and new assessment notice forms as necessary for the completion of the data collection. 11.5 Maps The City shall furnish two (2) sets of plat maps, section maps, and any other maps currently in the possession of the City, to Tyler/CLT, at no cost. 11.6 Miscellaneous General Agreements The City governing body shall refrain from interfering with, or influencing any value estimate by Tyler/CLT. The City shall aid Tyler/CLT in a responsible promotion of public infonnation concerning the work under this Agreement. June 2005 Tyler Technologies, Inc. 8 Schedule A -Data Collection Services Muskego, Wisconsin . 11.7 Hardware Requirements The City shall provide, maintain, and assure reasonable Tyler/CLT acct::ss to the data processing facilities on which Tyier/CLT will encode the data for the data collection. 12.0 GENERAL PROVISIONS Tyier/CLT will begin work on or before October 1, 2005 and complete all work under this Agreement no later than October 31, 2007. Failure to complete the data collection effort by November 1, 2007 will be cause for penalty payment by Tyler/CLT in the amount of ONE HUNDRED ($100.00) per calendar . day up to the date such work is completed. Such penalty will be deducted from the contract sum owed Tyler/CLT. 12.1 Contract Deliverables Tyier/CLT shall turn over to the City all records prepared for the data collection including, but not limited to, computer generated output, maps, and any other scheduled or forms, (b) all records and materials obtained for the City and not previously returned to include maps, plans, and Assessor's records, and (c) materials specifically obtained and/or used for performance of data collection for the City to include aerial photos, land maps and correspondence with property owners. 13.0 PROJECT STAFFING/SCHEDULE .
