O. ~ LfY1 J-O~) le1!Treasurer . , 6/05jmb \ '- 8 . . :Ø I 1/,8. tiN AUTHORIZED USER SERVICE REQUEST WHEREAS, the State of Wisconsin Department of Administration and Ameritech Custom Business Services, a division of Ameritech Information Systems, Inc. on behalf of Wiisconsin Bell, Inc., on March 16, 1999 entered into Contract No. 89096 effective August 28, 1999 for Integrated Information Network ("IIN") services for the State of Wisconsin and its Authorized Users; AND WHEREAS, Citv of Muskeao is a governmental entity as defined in Part 2, Section 1 of PSC of Wisconsin Tariff No. 20 which has been a State Centrex user prior to August 28,1999 and which desires authorization to use the IIN services of the State of Wisconsin. NOW THEREFORE, Citv of Muskeao agrees as follows: This Agreement ("Agreement") is entered into as of the last signature hereto (the "Effective Date") by and between SBC Global Services, Inc., as agent and rE~presentative of Wisconsin Bell, Inc. d/b/a SBC Wisconsin ("SBC") and City of MuskeQo ("Authorized User") for tiN services ("ServiCEt or .Services") to be provided at the premises listed in Attachment C. Section 1. Service Term. The Service shall be effective for a period of three (3) years, commencing thirty (30) days after the Effective Date, or otherwise as mutually agreed upon by SBC and Authorized User. Section 2. Services to be Provided. Authorized User hereby orders, and SI3C agrees to provide the services and features described in Attachments A and B. Section 3. Payment for Services. Authorized User agrees to pay SBC in accordance with payment terms set forth in Attachment C. Section 4. Title to facilities. Except as specifically set forth herein or in SBe tariffs on file with the Public Service Commission of Wisconsin ("PSe of W"), Authorized User shall not receive ownership, exdusive use or any other right or interest in the facilities used by SSC to furnish the services provided hereunder. Section 5. Limitation of Liability. Except as spec~flcally set forth herein or in SBe tariffs on file with pse of W, sse shall not be liable to Authorized User for any incidental or consequential damages, induding lost or anticipated profits. SBe shall not be liable for damages (special, consequential (Jir otherwise) resulting from delays in the initial service date. Section 6. Access to Authorized User Premises. SBe shall have the right to access the premises of Authorized User at all times as necessary to fulfill its obligations hereunder. Section 7. Force Majeure. Neither party shall be held liable for any delay or failure in performance of any part of this Agreement from any cause beyond its control and without its fault or negligence, including but not limited to acts of God, acts of civil or military authority, government regulations, embargoes, epidemics, war, terrorist acts, riots, insurrections, fires, explosions, earthquakes, nuclear accidents, floods, strikes, power blackouts, volcanic action, or other major environmental disturbanCE~s, unusually severe weather conditions, inability to secure products or services of other persons or transportation facilities, or acts or omissions of transportation common carriers. 0506VS3635002.1 ICB 94365-2 vgs 6/8/05 . . . Section 8. Amendments; Waivers. This Agreement or any part thereof or any Attachments hereto or documents referred to herein may be modified or additional provisions may be added by written agreement signed by or on behalf of both parties. No course of dealing or failure of any party to strictly enforce any term, right or condition of the Agreement shall be construed as a waiver of such term, right or condition. Section 9. Notices and Demands. Except as otherwise provided under this Agreement, all notices, demands or requests which may be given by any party to the other party shall be in writing and shall be deemed to have been duly given on the date delivered in person or deposited, postagle prepaid, in the United States Mail via certified mail return receipt requested. If personal delivery is selected as the method of giving notice under this Section, a receipt of such delivery shall be obtained. The address to which such notices, demands, requests, elections or other communication may be given by either parly may be changed by written notice given by such party to the other party pursuant to this Section. Section 10. Third-Party Beneficiaries. This Agreement shall not provide any person not a party to the Agreement with any remedy, claim, liability, reimbursement, claim of action or other right in excess of those existing without reference to the Agreement. Section 11. Assignment. Authorized User shall not assign or otherwise transfer any rights or obligations under this Agreement without the prior written consent of SSC, which shall not be unreasonably withheld or delayed. Any such assignment without the prior written consent of SSC shall be void. Section 12. Scope of this Agreement and Reléltionship to Other Docuffil~nts. The services and goods provided by SSC are furnished pursuant to SBC's tariffs and all amendments alnd revisions thereto on file with PSC of W. SBC Tariff PSC of W 20, Part 5, Section 2 specifically addresses Integrated Information Network service. The Authorized User acknowledges an understanding of this tariff and an understanding that the General Regulations including Conditions of Offering contained in SBC's filed tariffs also apply to the services provided hereunder. SBC is a regulated public utility and is not bound by any representations or inducements not set forth in its tariffs or this Agreement. Authorized User acknowledges having read the terms and conditions of this Agreement and agrees to be Ibound thereby. To the extent that this Agreement is in conflict with any other prior agreements, oral or \/vritten representations, statements, negotiations, understandings or proposals, the terms of this Agreement shall control; however, to the extent that this Agreement is in conflict with any terms and conditions of any SBC tariffs on file with the PSC of W, the tariffs shall control. Attachment A DESCRIPTION OF SERVICES AND FEATURES This contracted Integrated Information Network ("IIN") consists of the following: 1. General Description. IIN provides telecommunications services utilizing a: digital Central Office switching system. 2. Scope of Service Agreement. This Agreement includes all IIN services. provided by SBC to Authorized User as of the effective date of this Agreement and subject to all the terms and conditions in this Agreement. All aspects related to Authorized User premises equipment, wiring, etc., is the responsibility of Authorized User or his designated vendor. 3. Line Quantities and Location. The line quantities and location(s) for this contracted IIN service are specified in IIN System Payment Terms, Attachment C. 4. tiN Software and Features. All features available to Authorized User are listed in Attachment B. SBC reserves the right to update software packages in the serving switching vehicles. Features previously sold to Authorized User will remain operational after these updates unless changes have been discussed and concurred upon by Authorized User and SBC. 5. Network Facilities and Inside Wire. SBC is responsible for the provision of all network facilities from the switching vehicle to the specified Standard Network Interface ("SNI") or other such designated point of network/Authorized User demarcation. This is usually located at the minimum point of penetration in each Authorized User location. All charges for the cabling and wiring of the contracted IIN lines to the SNI, or its designate, from the central office is included in the contracted price. Any cabling required for provision of services not covered in this contract is beyond the scope of this contract and not included in the specified price for IIN Service. 6. Standard Network Interface. Refers to Part 68.~~ of the FCC's Rules and Re,gulations (Chapter I of Title 47 of the Code of Federal Regulations) which states that the (Standard) Network Interface or demarcation point is, "The point of interconnection betweøn Telephone Company communications facilities and terminal equipment, protective apparatus or wiring at a subscriber's premises. The Network Interface or demarcation point shall be located on the subscriber's side of the Telephone Company's protector, or the equivalent thereof in cases where a protector is not employed, as provided under local Telephone Company's reasonable and nondiscriminatory Standard operating practices." The SNI is part of the Telephone Company's network facilities. SNls will be installed by SBC at no charge to Authorized User on any new network facilities installed by virtue of this Agreement. Installation of SNls on existing facilities and other Authorized User requests for installation of SNls will be charged per existing tariffs. 7. Inside Wire. Authorized User or its designated vendor is responsible for installation and maintenance of all inside wiring from the station or Customer Premises Equipment (OPE) to the SNI or point of demarcation at each location, including the connection of this inside wire to the SNI. This Agreement does not include the purchase of embedded or the installation of new inside wiring, its connection to the SNI or maintenance thereof. Authorized User and SBC may contract for installation or maintEmance of inside wiring on a deregulated basis under a separate contract arrangement; the cost of which is not contemplated by the terms of this Agreement. 0506VS3635002.1 ICB 94365-2 4 vgs 6/8/05 . . . 8. Maintenance Provisions. SSC agrees to provide maintenance of its network equipment and facilities which serve the contracted tiN lines. Service will include preventive maintenance, diagnostic and repair. SSC will replace or upgrade network facilities as needed to maintain properly working service at no additional charge to the Authorized User. IIN service maintenance shall be performed by SBC for the Integrated Information Network over the cOf1tracted life of the system. The maintenance shall include the following network components: * Central Office Switching Equipment * Remote Switching Equipment * Central Office Circuit Equipment * Remote Circuit Equipment * loop Facilities up to and including the SNI or its ~~quivalent. Upon receipt of a network condition requiring maintenance (alarm indicator, preventive maintenance indicator, or verbal report), SSC shall proceed to resolve the condition as required (automatic or manual stand-by equipment protection, remote or on-site diagnostics, dispatch, automatloo or manual trouble isolation, defective component replacement). ' 9. Implementation Plan. In order to install IIN for Authorized User, a seriøs of events must be scheduled and coordinated by SSC with Authorized User and its CPE provider (if applicable). Authorized User agrees to cooperate fully in the installation effort and to meet the Authorized User responsibilities set forth in Section 11 below. Authorized User also agrees to obtain the full cooperation of its CPE provider. 10. sse Responsibilities. SSC is responsible for all aspects of the cutover of its own central office/network equipment and software. Initial IIN user training will be provided to Authorized User prior to cutover. Periodically, if requested by Authorized User, USE~r training will be provided, at compensatory rates, for Authorized User's employees with training responsibilities who may be new to their jobs or need a refresher. 11. Authorized User's Responsibilities. Authorized User will designate a person as project manager and coordinator for IIN implementation under this Agreement. Authorized User \vill be responsible for verifying the quantities and locations of lines required for Ulis system, for deciding on features to be effected at the time of cutover, and for determining and implementing any changes in station equipment by the mutually agreed upon date. Authorized User or its designated vendor will be responsible for all aspects related to Authorized User premises equipment, inside wiring, and all non-IIN related sE~rvices. 12. Tariff Provisions. It is anticipated that SSC will provide services under the following tariffs: * Integrated Information Networks Tariff (PSC of W. No. 20, Part 5, Section 2) The above list is not intended to be all inclusive. Any central office or network hardware/cable facilities, other than basic UN line hardwarelfacilities, required for operation of these features is not included in the IIN line price and must be purchased separately under tariffed or to be specified rates/prices. NOTE: This list is intended to be representative but not all inclusive. Any Authorized User premises equipment/facilities, along with the testing, provisioning or maintenance of such designated equipment/facilities is the responsibility of Authorized User or its designated vendor. Installation, Conversion and Service Order Charges. The tariffed rates and charges for initial installation of IIN Service will apply to all cutover lines. If Authorized User presently has Centrex service, the Seivice Establishment fee of $800.00 will be waived. IIN services added subsequent to the initial service date (cutover) will be subject to applicable tariffed amounts for IIN/Centrex includinn service ordering and appropriate service connection charges. If the SSC CentmxMate is not used, charges for moves and future arrangements will be as specified in the then applicable tariff for Centrex Service. 2. All payments are due within thirty (30) days of rE~ceipt by Authorized User of the invoice for such charges. 3. IIN Service is offered to Authorized User under Gontract for the purchase clf services. Recurring charges for IIN service must be paid for the entire contracted period. "Minimum Quantiity" (listed on page 2 of this Attachment C) is the minimum quantity of IIN lines for which Authorized Usør must pay recurring charges, including EUCL, during the entire term of the Agreement. "3 Year Max Öuantity" indicates the quantity of lines that may be installed at an identified Authorized User location at the price quoted in this Agreement. An amendment to this Agreement is required to define quantities and prices for IIN lines to be added in excess of the maximum quantities stated in this Agreement. 4. The EUCL Charge is mandated by the Federal Communications Commission (FCC). Authorized User's contracted EUCL contribution is $5.06 pèr IIN line for the term of the IIN Agreement. 5. Locations that will be served under this Agreement are listed under "Authorized User Locations" on page 2 of this Attachment C. All lines must be on properties contiguous to those set forth above. 6. Standard white page listings or their equivalent (business or government white pages) shall be provided at no additional cost to Authorized User for listings appearing in the SSC White Pages directory. Such listings shall be limited to ten percent (10%) of Authorized User's IIN line count. Multiple listings of a single IIN number shall be provided at an additional charge of $3.00 per listing per month. 7. This Agreement is a multi-year contract between Authorized User and SSG. Termination liability charges for the removal of IIN service will be based on the attached Termination Liabili1ty Schedule. 8. Station and Customer Premises Equipment (CPE) is the Authorized User's responsibility for procurement, maintenance, testing, training, etc. CPE is not part of this UN Agreement. 9. Only services specifically listed in this AgreemHnt are included. Other SSC services such as Additional Local Messages (ALMs), Message Toll Services (long distance), special billing arrangements, tie lines, SELL Channel Services or Access Services are examples of services not included under this Agreement. Such services may be purchased separately at appropriate rates and charges. 10. This Agreement does not include the purchase of embedded or installation of new premises inside wiring, its connection to the Standard Network Interface or maintenance thereof. These matters are the responsibility of the Authorized User or his designated vendor. 11. During the installation of UN Service, the Authorized User may request additional work not specified in this Agreement.
