RESOLUTION PROVIDING FOR THE SALE OF $2,090,000
GENERAL OBLIGATION FIRE DEPARTMENT REFUNDING BONDS
WHEREAS the Common Council of the City of Muskego, Waukesha
County, Wisconsin (the "City") has adopted an initial resolution
("Initial Resolution") authorizing the issuance of general
obligation bonds in the amount of $2,090,000 for the public
purpose of financing the fire stations used by Tess Corners
Volunteer Fire Department to serve the City by refunding
obligations issued to finance construction of the fire stations;
and
WHEREAS, on January 13, 2004, the Common Council held a
public hearing regarding the issuance of the bonds pursuant to
the requirements of Section 147(f) of the Internal Revenue Code
of 1986, as amended (the "Code").
NOW, THEREFORE, BE IT RESOLVED that:
.-- 1. The City shall issue the general obligation bonds
authorized pursuant to the Initial Resolution as a single issue
of bonds in the principal amount of $2,090,000 for the purpose
above specified, which bonds shall be designated "General
Obligation Fire Department Refunding Bonds" (the "Bonds").
2. This resolution constitutes public approval (within the
meaning of Section 147(f) of the Code) of the issuance of the
Bonds.
3. The Common Council hereby authorizes and directs that
the Bonds be offered for public sale. At a subsequent meeting,
the Common Council shall consider such bids for the Bonds as may
have been received and take action thereon.
4. The City Clerk be and hereby is directed to cause
notice of the sale of the Bonds to be disseminated in such
manner and at such times as the City Clerk may determine and to
cause copies of a complete, official Notice of Bond Sale and
other pertinent data to be forwarded to interested bidders as
the City Clerk may determine.

5. The City Clerk shall cause an Official Statement
concerning this issue to be prepared by the City's financial
advisor, Ehlers & Associates, Inc. The appropriate City
officials shall determine when the Official Statement is final
for purposes of Securities and Exchange Commission Rule 15c2-12
and shall certify said Statement, such certification to
constitute full authorization of such Statement under this
resolution.
