THE EQUITABLE (PEDC PLAN)
SALE OF COMMON STOCK
WHEREAS, the City of Muskego has a Public Employee Deferred
Compensation Plan (PEDC) with The Equitable, which has
reorganized from a mutual company to a stock company; and
WHEREAS, as a participant in the program, the City has received
266 shares of common stock in The Equitable; and
WHEREAS, the Finance Committee has recommended that any cash
distribution as a result of the reorganization be distributed
to the participants in the PEDC Plan of record on November 21,
1991 based on their percentage of the total dollars in the Plan
on that date; and
WHEREAS, this sale will be executed through Mr. Bill Madsen of
Edward Jones & Co.
NOW, THEREFORE, BE IT RESOLVED that the Common Council of the
City of Muskego, upon the recommendation of the Finance
Committee, does hereby jointly and severally authorize and
empower on behalf of the City, Wayne G. Salentine, Mayor, and
Jean K. Marenda, City Clerk, to sell 266 shares of common stock
in The Equitable Companies, Inc., registered in the name of
"City of Muskego City Hall" and to further authorize them to
execute the instruments proper or necessary to effect any such
sale.
BE IT FURTHER RESOLVED that any and all Resolutions hereto
adopted, inconsistent with the above Resolution, be and they
are hereby rescinded. We hereby certify that the foregoing is
meeting of the Common Council, the governing body of the City
a true and correct copy of a Resolution passed at a regular
of Muskego, a corporation duly authorized and existing under
and by virtue of the laws of the State of Wisconsin, held on
the 8th day of September, 1992 at Muskego City Hall; and we
each member of said Council; that a quorum was present and
further certify that due notice of said meeting was given to
voting throughout and that said Resolution is now in full force
and effect and has not been amended or repealed.
