WHEREAS, The Public Utilities Committee has reviewed acquisition of the Country
Club Villages water system has recommended approval.
NOW, THEREFORE, BE IT RESOLVED That the Common Council of the City of
Muskego does hereby approve the attached Agreement to Assume Certain Assets and
Liabilities of Country Club Village Master Maintenance Association, Inc., The Villages at
Muskego Lakes Partnership and the Trustees of the Water Trust for Country Club
Villages and to Incorporate Said Water System into a Municipal System subject to PSC
and DNR approval.
BE IT FURTHER RESOLVED That the Mayor and Clerk-Treasurer are authorized to
execute the Agreement in the name of the City, subject to receipt of PSC and DNR
approval, and are further authorized to make any necessary changes in any of the
closing documents in consultation with the City Attorney that are in the best interest of
the City and are not a material change to the agreement.

TRUSTEES OF THE WATER TRUST FOR COUNTRY CLUB VILLAGES
AND TO INCORPORATE SAID WATER SYSTEM INTO A MUNICIPAL SYSTEM
THIS AGREEMENT is entered into this day of
by and between COUNTRY CLUB VILLAGE MASTER MAINTENANCE
ASSOCIATION, INC., a Wisconsin corporation, THE VILLAGES AT MUSKEGO
LAKES PARTNERSHIP, a Wisconsin partnership, and THE TRUSTEES OF THE
WATER TRUST FOR COUNTRY CLUB VILLAGES, (all three hereinafter referred to
as "SELLERS"), and the CITY OF MUSKEGO, Waukesha County, Wisconsin
(hereinafter referred to as "CITY").

RECITALS
WHEREAS, the SELLERS presently operate a private water system serving
the domestic water needs of those subdivisions known as
. , legally described in Exhibit A attached hereto
and incorporated herein by this reference (collectively, the "SUBDIVISIONS"); and
WHEREAS, the SELLERS are desirous of conveying and dedicating to the
CITY certain of its water service assets and facilities more particularly described in
the attached Exhibit B (the "ASSETS"); and
WHEREAS, the authorized representatives of all three SELLERS have
consented to and authorize certain of its offiærs, trustees and partnür~ to enter into
this Agreement providing for the transfer of the ASSETS to the CITY upon the terms
and conditions set forth herein; and

WHEREAS, all three of the SELLERS represent that each of them have the
right and authority, pursuant to its Articles of Incorporation, By-Laws, Partnership
Agreements, Trust Agreements or any other agreements or documents and all
applicable rules and laws, to enter into this Agreement; and
WHEREAS, the CITY and each of the SELLERS have determined it to be in
the best interest of each of them, and specifically to be in the best interest of the
members of the SELLERS, that the ownership and operation of the ASSETS be
transferred to the CITY to be operated as a part of the existing water utility presently
operated by the CITY.
NOW, THEREFORE, the parties hereto agree and covenant as follows:
1. TRANSFER OF TITLE. The SELLERS will transfer the ASSETS to the
CITY at a closing to take place at the CITY Hall on or before the
day of , 2004 (the "CLOSING"). At the CLOSING, the
SELLERS will execute instruments of conveyance in the form of those
attached hereto as Exhibit C to transfer ownership of the ASSETS.
WARRANTY OF TITLE. The SELLERS warrant and represent that as
of the date of execution of this Agreement, the SELLERS have good
right and title to the ASSETS free from all liens and encumbrances and
full right and authority to convey the same to the CITY, and such

warranties and representations shall remain true at the time of
CLOSING. The SELLERS also warrant that it will take no action to
encumber the ASSETS after the CLOSING. The SELLERS also
warrant that at the time of CLOSING it will have no debts or liabilities.
The SELLERS make no warranties or representations regarding the
condition of the ASSETS or their fitness or utility for any purpose, and
the CITY agrees to accept the same in AS IS condition and assume full
responsibility for all repairs and maintenance relating to the ASSETS
even though some such repairs may have been necessary or
appropriate prior to the CLOS,i~G. The CITY acknowledges and agrees
that it has inspected the ASSETS and is fully satisfied with the condition
thereof.
3. RECOGNITION OF BENEFITS: CONSIDERATION. The CITY
acknowledges and agrees that the ASSETS have a value of at least
equal to the charges ("WCA CHARGES") that otherwise would be
imposed on property owners being served by SELLERS for becoming
connected to the CITY's water system and for water capacity through
the municipal water service of the CITY. The CITY further

acknowledges and agrees that the CITY and areas outside the
SUBDIVISIONS will benefit from the transfer to the CITY of the
ASSETS at least to the extent of such value. Therefore, in
consideration of the transfer of the ASSETS to the CITY, the CITY shall
credit each lot within the SUBDIVISIONS against the WCA CHARGES
an amount equal to 100% of such charges attributable to each and
every lot within the SUBDIVISION S, except that with respect to any
such lot upon which no dwelling u nit has been constructed as of the
date hereof, there shall be no credit, except as provided for later in this
paragraph and in Exhibit E attached hereto and made a part hereof. At
the CLOSING, the CITY shall deliver to the SELLERS a CERTIFICATE
AND WAIVER in the form of that attached as Exhibit D for each lot
within the SUBDIVISIONS, except those listed in Exhibit E. There are 4
vacant undeveloped lots within the area subject to this Agreement
which are subject to WCA assessments. The WCA assessments as to
the 4 lots listed on Exhibit E, which is attached hereto and made a part
hereof, shall be waived by the CITY only if a building permit for a home
on each lot is issued within 90 days of the date of this Agreement and
an occupancy permit for each such home is issued within 2 years and
90 days of the date of this Agreement. Otherwise, the WCA as to each
of those 4 lots shall remain in full force and effect and payable when
due.
4. ASSUMPTION OF RESPONSIBILITY. After the CLOSING has
occurred, the CITY shall assume full title ownership of the ASSETS and
all responsibility for water service to the SUBDIVISIONS.
RESPONSIBILITY FOR WATER USAGE. The SELLERS agree that 5.
special assessments may be levied against all properties benefitted by
any future projects performed by the CITY (including, but not limited to,
those properties now owned by members of the SELLERS) and the
credit against the WCA CHARGES described above shall not constitute

a waiver of the CITY'S right to levy and collect any future special
assessments (including water capacity assessments) not representing
any portion of the WCA CHARGES described above. The SELLERS
further acknowledge that on the execution of this Agreement and
thereafter, all water users within this system will become customers and
users under the municipal water system of the CITY and subject to all
rules, charges, connection costs, costs of meters and related
connection costs such as meter horn and internal plumbing, etc. and
regulations thereof as uniformly applied.
EMINENT DOMAIN RIGHTS WAIVED. The SELLERS acknowledge
that it is aware of all rights it and lot owners within the SUBDIVISIONS
may have under Chapter 32 of the Wisconsin Statutes, but agree that
the benefits resulting from this transfer of the ASSETS to the CITY
including, but not limited to, the credit against the WCA CHARGES
shall be deemed equal in value to the ASSETS being dedicated and,

. therefore, other than the consideration described in this Agreement, is
requesting no further compensation and any further rights under
Eminent Domain Law or similar laws are hereby waived.
SURVIVAL AND ENFORCEMENT OF TERMS. The terms of this 7.
Agreement which are not completely performed upon the transfer of title
of the ASSETS of the SELLERS to the CITY shall survive the transfer of
said ASSETS and shall com;i,ue to be enforceable.
IN CONSIDERATION of the mutual covenants and promises herein, we have

EXHIBIT D
CERTIFICATE AND WAIVER
FOR VALUE RECEIVED, the City of Muskego, Wisconsin, a municipal
corporation organized under the laws of the State of Wisconsin, hereinafter referred
to as "CITY," does hereby acknowledge, confirm and certify that the persons and real
property described on the attached Exhibit X shall be and hereby are forever
discharged from any obligation to pay the CITY those particular special assessments
known as Water Capacity Assessments ("WCA") now existing against said properties
in the amount of
($ ) Dollars each, and the CITY does hereby forever waive any and all
such impositions relating to said real property.
PROVIDED, HOWEVER, that the foregoing Certificate and Waiver (i) shall not
apply with respect to any buildable lot described on said Exhibit X which is connected
to said municipal water system after the day of , 200_; and
(ii) shall not prevent the CITY from imposing upon said persons and real property
certain assessments relating to the future improvement and operation of said
municipal water system, fairly and uniformly applied according to the laws of the
State of Wisconsin including, but not limited to, water user charges, special
assessments and water capacity assessments.
IN WITNESS WHEREOF, the undersigned, pursuant to the authority vested in
me by duly adopted Resolution of the Common Council, has executed this Certificate
and Waiver as the official act of the CITY this day of , 2004.
