This Authorized User Agreement (this "Authorized User Apreemenf')hereby incorporates the terms and conditions of the
Combined Voice Network Services Agreement dated July 18
,2006 (the "Agreemenf'),between SBC Global Services,Inc.dba
AT&T Global Services,on behalf of its affiliates ("AT&T')and the State of Wisconsin Department of Administration (the "State of
Wisconsin").CITY OF MUSKEGO ("Authorized User")is a governmental entity as defined in Part 2,Section 1 of PSC of
Wisconsin Tariff No.20 and an Authorized User as defined in the Agreement.Capitalized terms used herein and not
otherwise defined shall have the meaning ascribed to such terms in the Agreement.
Authorized User agrees to purchase and AT&T agrees to provide the Long Distance,liN,and Voice Processing Services as
described in Addenda 1,2 and 3 respectively of the Agreement.Authorized User further agrees to be bound by the terms and
conditions of the Agreement,including without limitation,Sections 4 and 5 thereof (other than Section 5.2.6 of the Agreement,
as more fully described in the next succeeding paragraph.)
Authorized User will order the Services at the pricing set forth in the Tables listed in Attachment A hereto through AT&T's
ordering systems,specifically,AT&T Business Direct for Long Distance Services and AT&T Customer Care Business Office
and PremierServ Managed Care (PMC)help desk for the remaining Services.
Notwithstanding the provisions of Section 5.2.6 of the Agreement,if Authorized User disconnects any Services provisioned
under the Agreement,or if Authorized User purchases telecommunications equipment and/or facilities other than those
provisioned under the Agreement,for the purpose of consolidating access facilities to the Public Switched Telephone Network
and/or the Internet,Authorized User shall be deemed to be in material breach of this Agreement.Upon the occurrence of such
material breach by Authorized User,AT&T may terminate this Authorized User Agreement upon thirty (30)days prior written
notice to Authorized User and AT&T shall have such additional rights and remedies as may otherwise be available in law or in
equity.
Authorized User is exclusively responsible for all payments owing to AT&T for the Services provisioned hereunder
and the State of Wisconsin shall not be deemed to be a surety or guarantor of any such payments.Authorized User
shall pay for the Services ordered hereunder pursuant to the payment terms in Section 29 of the Agreement.
